OutWith Terms of Service

Welcome to OutWith. We’re building a dating platform designed to get people offline and into real-life experiences. These Terms of Service (“Terms”) govern your use of the OutWith website, app, and related services (collectively, the “Service”). Please read carefully. By using OutWith, you agree to these Terms and our Privacy Policy.
1. Eligibility
To use OutWith, you must:
- Be at least 18 years old.
- Be legally permitted to use a dating service in your jurisdiction.
- Agree to these Terms and our Privacy Policy.
We may request proof of age or identity and reserve the right to suspend or terminate accounts that violate these requirements. If you misrepresent your age, you accept full responsibility for any resulting use or consequences.
2. Acceptable Use
OutWith is built for safe, authentic connections. You agree not to:
- Impersonate anyone or misrepresent your identity, age, or intentions.
- Harass, threaten, stalk, or harm other users.
- Post or share content that is unlawful, obscene, discriminatory, sexually explicit, violent, or otherwise inappropriate.
- Use the Service for commercial, promotional, or spam activity.
- Attempt to hack, interfere with, scrape, or reverse-engineer any part of the Service.
We may remove content or restrict accounts if we believe these rules are violated.
3. Safety and Responsibility
OutWith does not perform criminal background checks on users. While we encourage respectful conduct and invest in safety features, we cannot guarantee the behavior of others.
You are solely responsible for your interactions, both online and in-person. OutWith is not responsible for the conduct of any user, on or off the Service. By using OutWith, you agree to release OutWith and its affiliates, officers, employees, and partners from liability related to your interactions with other users. Please use common sense and caution, especially when meeting in person.
4. User Content
You own the content you post (photos, bios, interests, messages, etc.). By submitting content, you grant OutWith a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content as part of providing the Service.
This license continues until you delete the content or your account, except to the extent the content has already been shared with others or retained in system backups.
You agree not to post content that includes:
- Nudity or sexually explicit material.
- Hate speech, harassment, or threats.
- Encouragement of violence or self-harm.
- Copyrighted works without proper rights.
- Misleading, fraudulent, or impersonated information.
We reserve the right to moderate or remove content that violates these rules.
5. Intellectual Property
All materials related to OutWith—including the name “OutWith,” our logos, app design, software, and website content—belong to OutWith or its licensors. You may not copy, distribute, modify, or exploit any part of the Service without our prior written consent.
6. Account Suspension and Termination
We may suspend or terminate your account at our discretion if we believe you have violated these Terms, our Privacy Policy, or endangered the safety of users.
You may delete your account at any time, though deleting does not remove content already shared or seen by others (e.g., messages).
7. No Warranties
OutWith is provided “as is” and “as available.” We do not guarantee that you will find matches, attend dates, or form successful connections. We are not responsible for technical failures, interruptions, or the behavior of other users.
8. Limitation of Liability
To the fullest extent allowed by law:
- OutWith is not liable for indirect, incidental, special, or consequential damages from your use of the Service.
- OutWith’s total liability shall not exceed $100 USD or the total amount you’ve paid to OutWith (if any).
- You agree that you use the Service at your own risk.
9. Indemnification
You agree to indemnify, defend, and hold harmless OutWith and its affiliates, officers, employees, and partners from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:
- your use of the Service,
- your content, or
- your violation of these Terms or applicable laws.
10. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-law principles.
Arbitration and Class Action Waiver
Any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or your use of OutWith shall be resolved exclusively through final and binding arbitration, rather than in court. Arbitration shall be conducted by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.
- Individual Basis Only: You agree that disputes will be resolved individually and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding.
- No Class Actions: The arbitrator may not consolidate more than one user’s claims and may not preside over any form of representative or class proceeding.
- Location: Unless you and OutWith otherwise agree, arbitration will be held in Suffolk County, Massachusetts.
- Small Claims Exception: Either party may bring claims in small claims court in Suffolk County, Massachusetts, if eligible.
- Opt-Out Right: You may opt out of this arbitration requirement within 30 days of creating your account by sending written notice to [email protected].
If arbitration is found unenforceable for any reason, disputes shall instead be resolved exclusively in the state or federal courts located in Suffolk County, Massachusetts.
11. Changes to Terms
We may update these Terms from time to time. If changes are significant, we’ll notify you by email or in-app notice. Continued use of the Service after changes are posted means you accept the revised Terms.
